Terms of Service March 18. 2023
1. Introduction These Terms of Service (“Agreement”) govern the provision of bookkeeping services by Kingston Bookkeeping (“Bookkeeper”) to you (“Client”) in Ontario.
2. Scope of Services The Bookkeeper shall provide bookkeeping services to the Client in accordance with the terms of this Agreement. The scope of services shall include, but not be limited to, the following:
• Maintaining accurate records of the Client's financial transactions;
• Preparing financial statements, including income statements, balance sheets, and cash flow statements;
• Preparing and filing HST returns and other applicable tax filings;
• Providing advice and guidance to the Client regarding financial matters.
3. Client Responsibilities The Client shall provide the Bookkeeper with all necessary financial documents and information in a timely manner to enable the Bookkeeper to perform the services. The Client shall also ensure that all financial information provided is accurate and complete.
4. Fees and Payment The fees for the services shall be payable within 30 days from the billing date. The Bookkeeper shall invoice the Client on a bi-weekly basis.
5. Confidentiality The Bookkeeper shall maintain the confidentiality of all financial information provided by the Client. The Bookkeeper shall not disclose any such information to any third party without the prior written consent of the Client.
6. Term and Termination This Agreement shall commence on the date of execution and shall continue until terminated by either party upon [insert notice period] days’ written notice to the other party. Either party may terminate this Agreement immediately upon written notice if the other party breaches any material term of this Agreement.
7. Limitation of Liability The Bookkeeper's liability to the Client for any claim arising out of this Agreement shall be limited to the amount paid by the Client to the Bookkeeper for the services provided hereunder. The Bookkeeper shall not be liable for any consequential, incidental, or indirect damages, including lost profits or revenue, arising out of this Agreement.
8. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the province of Ontario.
9. Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties, whether written or oral.
